Abby - Terms of Service

Parts of this Agreement

This Agreement consists of General Terms and Service Specific Terms. Where a conflict occurs, Service Specific Terms will prevail.

Acceptance of the Agreement

You must be of legal age to enter into a binding agreement to use Abby. Using the services or clicking "Accept" means that you agree to these terms. If you do not agree, do not use Abby.

Description of Service

Abby provides cloud-based business management software and mobile applications ("Services"). You may use the Services for personal or business use. You are responsible for obtaining internet access and required equipment.

Beta Services

Abby may offer certain features as closed or open beta ("Beta Services"). Abby may modify, suspend, or discontinue Beta Services at any time without liability. Use of Beta Services does not require you to purchase any paid plan. Abby reserves the right to change any Bete Service you purchase or use while you are using it. You fully agree to this

Free Trial

If you register for a free trial, Abby will provide services free until:

End of the trial period, or
Start of paid subscription, or
Termination by Abby

Data entered during the free trial may be deleted unless you upgrade or export it.

User Signup Obligations

To use Abby, you must create an account and provide accurate information. You agree to update your information when required. If false or incomplete information is provided, Abby may terminate your account.

Restrictions on Use

You agree NOT to:

Transfer or resell the Services without permission
Share accounts between multiple individuals
Reverse engineer, copy, or attempt to access restricted areas of the system
Upload harmful code including viruses or malware
Misuse the Services for illegal or unauthorized activity
Host or transmit content you do not have rights to
Create fraudulent identities or mislead others
Violate any applicable law
Remove or obscure proprietary notices

Spamming and Illegal Activities

You are responsible for the content you transmit through the Services. You agree not to use Abby for:

Illegal activities
Defamatory, abusive, or obscene content
Spam, phishing, or bulk unsolicited messages
Content that violates intellectual property rights
Harmful or malicious code

Abby may suspend or terminate your access if misuse is detected.

Third-Party Applications

Abby may integrate with third-party apps. You are responsible for reviewing and accepting their terms. Abby is not liable for any issues caused by such third-party applications.

Fees and Payments

Paid services operate on subscription plans. Subscriptions auto-renew unless cancelled prior to renewal. If applicable, taxes will be charged in addition to subscription fees.

                    Abby may change pricing but will only apply new charges after your current billing cycle ends.
                

Organization Accounts and Administrators

If you create an organization account:

You may assign administrators
You are responsible for maintaining security of your credentials
Abby is not responsible for internal management or administration
Recovery of admin accounts may require identity verification

Personal Information and Privacy

Personal information you provide is governed by the Abby Privacy Policy. You are responsible for protecting your username and password.

Communications from Abby

Abby may send service announcements, alerts, or administrative messages. You may opt out of newsletters, but not essential service messages.

Complaints

If Abby receives a complaint regarding your usage, it will be forwarded to your email. You must respond within 10 days. Failure to respond may result in your contact details being shared with the complainant.

Inactive User Accounts Policy

Abby may terminate unpaid accounts inactive for 120 days. Data associated with such accounts may be deleted after notice.

Data Ownership

You retain ownership of all content created or stored by you. Abby will only access or process your data for providing the Services.

Hosting Location

Your hosting region is determined based on your IP at signup. Abby may migrate accounts for operational or compliance purposes.

User-Generated Content

You are responsible for all content you publish. Public content may be indexed by search engines. Abby may remove content if it receives valid complaints or notices.

Sample Files and Applications

Any sample content provided by Abby is for demonstration only and comes without warranty.

Trademark

"Abby", Abby logos, and service names are trademarks of Abby. You may not use them without written permission.

Disclaimer of Warranties

YOU AGREE THAT THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". ABBY DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT. USE OF THE SERVICE IS AT YOUR OWN RISK.

Limitation of Liability

ABBY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA. TOTAL LIABILITY SHALL NOT EXCEED USD $1000 OR THE FEES PAID BY YOU IN THE PREVIOUS 12 MONTHS, WHICHEVER IS HIGHER.

Indemnification

You agree to indemnify Abby and its affiliates for claims arising out of your violation of this Agreement or misuse of the Services.

Governing Law & Jurisdiction

Disputes will be governed by applicable laws based on your country or region of residence. Courts in your region will have exclusive jurisdiction.

Suspension and Termination

Abby may suspend or terminate accounts due to:

Illegal activity
Inactivity
Law enforcement requests
Violations of this Agreement
Technical or security issues

You may request account termination anytime.

Modification of Terms

                    Abby may modify these terms by notifying you via email or system notification. Continued use indicates your acceptance of updated terms.
